1. Introduction

Welcome to Counselor Sophie ("we," "us," "our"). These Terms of Service ("Terms") govern your use of our website at counselorsophie.com and all associated services, tools, and subdomains (collectively, the "Service"), including but not limited to:

  • Resume Builder(resume.counselorsophie.com) — AI-assisted college application resume generation
  • Essay Coach(essay-api.counselorsophie.com) — AI-assisted college essay brainstorming and feedback
  • Newsfeed— curated college admissions and high school news
  • Additional tools and features as they become available

By accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Description of Services

Counselor Sophie provides AI-powered tools to help students with college application preparation. Our tools use artificial intelligence to process user-submitted content and generate suggestions, formatted documents, and educational insights.

Important: The Service does not constitute professional college admissions consulting, career counseling, or legal advice. AI-generated content may contain errors, inaccuracies, or formatting issues. You are solely responsible for reviewing, editing, and verifying all generated content before using it in any application. For personalized admissions guidance, consult a qualified professional.

3. User Accounts

Some services (such as Essay Coach) require a user account. When you create an account, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us promptly if you suspect unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

Other services (such as Resume Builder and Newsfeed) are available without an account.

4. Acceptable Use

You agree to use the Service only for lawful, personal, non-commercial purposes related to educational planning. You may not:

  • Use automated scripts, bots, or other tools to access the Service in an automated fashion
  • Submit content that is false, misleading, defamatory, or that belongs to another person without their consent
  • Attempt to overwhelm, disrupt, reverse-engineer, or exploit the Service
  • Circumvent rate limits or other technical restrictions
  • Use the Service for any purpose unrelated to educational planning
  • Resell, redistribute, or commercially exploit the Service or its outputs

5. Content You Submit

Ownership

You retain full ownership of any content you submit to the Service, including activity descriptions, essays, personal information, and uploaded files.

License Grant

By submitting content to the Service, you grant Counselor Sophie a non-exclusive, royalty-free, worldwide, perpetual license to use, store, and analyze anonymized and aggregated content derived from your submissions for the following purposes:

  • Improving the quality, accuracy, and capabilities of the Service
  • Educational research and trend analysis
  • Developing new tools and features
  • Creating anonymized, aggregated reports about student activity trends

"Anonymized content" means content from which all personally identifiable information (including but not limited to names, email addresses, phone numbers, and exact test scores) has been removed. We will never use your name, likeness, or personal details in any publication or report without your explicit written consent.

What This Does Not Include

This license does not grant us the right to:

  • Share your personally identifiable information with third parties
  • Use your original essays, personal statements, or creative work as our own
  • Identify you individually in any research, report, or publication
  • Sell your personal data

6. AI Processing

Resume Builder: All AI processing is performed on our own servers using locally-hosted AI models. Your data is never sent to third-party AI services.

Essay Coach and college planning tools: These features use third-party AI providers (Anthropic, Google, OpenAI) via their APIs. These providers process your data only to fulfill requests and do not use API-submitted data to train their models.

7. AI-Generated Content

Content generated by our AI tools (including resume bullet points, essay suggestions, and feedback) is provided as a starting point and should be treated as such. You agree that:

  • AI-generated content may contain errors, inaccuracies, or inappropriate suggestions
  • You are solely responsible for reviewing and editing all AI-generated content before use
  • We make no guarantees about the suitability or effectiveness of AI-generated content for any particular application or admission outcome
  • AI-generated content should not be submitted verbatim as your own original work in college applications without your own review and personalization

8. Rate Limits and Fair Use

To ensure fair access for all users, certain services impose rate limits on usage. Exceeding these limits may result in temporary restrictions on your access. Current limits include:

  • Resume Builder: 5 resume generations per hour
  • Other tools: as posted on each service page

We reserve the right to modify rate limits at any time.

9. Intellectual Property

The Service, including its design, code, AI models, prompts, and curated content (such as news summaries and school profiles), is the intellectual property of Counselor Sophie. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission.

Content you submit remains your intellectual property, subject to the license granted in Section 5.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • AI-generated content will be accurate, complete, or suitable for your needs
  • Use of the Service will result in any particular college admission outcome

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COUNSELOR SOPHIE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES RELATED TO COLLEGE APPLICATION OR ADMISSION OUTCOMES.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or fifty dollars ($50), whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Counselor Sophie, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. For account-based services, you may delete your account at any time by contacting us.

Upon termination, your right to use the Service ceases immediately. Sections 5, 10, 11, 12, and 14 survive termination.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of Los Angeles County, California.

15. Changes to These Terms

We may update these Terms at any time by posting the revised version on this page. The "Last updated" date at the top will reflect the most recent revision. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
